This scheme involved executing securities transactions involving Gerova stock, all with the intent of providing the co-conspirators with undisclosed monetary rewards amounting to millions of dollars. Importantly, these transactions lacked sufficient disclosure regarding Jason Galanis's role in orchestrating the actions and the gains reaped by him and his co-conspirators.Derek entered a plea of guilty to a single charge of conspiring to commit securities fraud, an offense that could lead to a maximum imprisonment of five years and a maximum fine of either $250,000 or double the overall gain or loss resulting from the wrongdoing.
