The US FTC and DOJ recently released long-awaited updates to the Hart-Scott-Rodino (HSR) Form and Merger Guidelines for assessment of mergers. The proposals entail much higher costs to notify transactions to the agencies, and we explore the substantive implications, including for industries such as tech, life sciences, and private equity.
