Arizona Gold & Silver secures C$12M strategic investment from Evolution Mining

Arizona Gold and Silver CEO Mike Stark joined Steve Darling from Proactive to discuss a C$12 million strategic investment from Evolution Mining, which will acquire 15,056,004 units of the company through a non-brokered private placement at C$0.80 per unit. Stark said the investment will give Evolution an approximately 9.9% equity interest in Arizona Gold and Silver on a non-diluted basis upon closing. Under the agreement, at least 90% of the proceeds, or roughly C$10.8 million, will be directed toward accelerating exploration at the company's flagship Philadelphia Gold-Silver Project in Arizona. The expanded exploration program will focus on growing the high-grade Perry Zone, testing the three-kilometre Arabian Fault corridor, evaluating the broader potential beneath Red Hills, and advancing exploration of the Eastern and Northeastern hyperspectral anomaly targets. As part of the strategic partnership, Evolution will receive several investor rights, including the ability to participate in future equity financings to maintain its ownership position, top-up rights in the event of dilution, the right to nominate members to Arizona Gold and Silver's technical team, and a right of first refusal on the sale of a 10% or greater interest in the Philadelphia Project.
