Do Independent Directors Really Tell the Truth When They Resign?

Independent director resignations are often presented as routine, harmless events, but Professor Keren Bar Hava’s research reveals a very different reality. Drawing on U.S. data from over 5,000 carefully read resignation announcements, she shows that highly reputable independent directors tend to resign in advance of poor firm performance to protect their own reputations rather than to warn shareholders. Most resignations (61 percent) explicitly state there is “no disagreement” with the company, while frank disclosures of disagreement are vanishingly rare. Markets register a small immediate negative reaction, but the true impact unfolds over time, with significantly worse performance following these departures, evidence that investors under react to the vague, reassuring language. Sophisticated actors such as analysts and institutional investors read between the lines, downgrading quickly, but retail investors are far more likely to be misled by the sanitized narratives surrounding independent director exits.
