Our call: BUY, 3/5 — cheap and cash-rich, but growth is slowing. Pegasystems is a fallen enterprise-software leader the market has nearly left for dead — down ~46% in 2026 and ~55% from its 52-week high of $68, sitting near a 52-week low around $29. Founder Alan Trefler has run it since 1983 and still owns ~47%, and the platform (low-code workflow automation + AI decisioning) sells mission-critical software to the world's largest banks, insurers, and telecoms. Q2 2026 was a MISS: revenue +9% to $420.7M (below estimates), non-GAAP EPS $0.35 (+25%, also light), GAAP EPS just $0.08. The metric that matters — annual contract value — decelerated sharply: Pega Cloud ACV grew +22%, but TOTAL ACV grew only +7% (from ~12% last quarter) as legacy maintenance (-10%) and old subscription-license ACV (-6%) shrank; management candidly blamed 'unprecedented changes in the AI market' for clients delaying deals and warned it may pressure growth all year. Forget distorted GAAP earnings — on owner-earnings (free cash flow, ~$491M in 2025, up from just $22M in 2022 as non-GAAP operating margin expanded toward ~28%) the stock trades at only ~10x FCF and a ~10% FCF yield. Our two-scenario owner-earnings DCF (discounted at 9/10/11%, plus net cash) spans ~$43-56 (base) and ~$70-92 (bull), blending to a fair value near $50 (~60% above price) — and even our bear case (ACV truly stalls) lands at ~$31, essentially today's price. That asymmetry, into a debt-free cash machine with a founder owning half the company, is why it's a BUY — but only 3/5: the ACV deceleration and the agentic-AI disruption question are real and unresolved, and the overturned $2B Appian trade-secrets verdict is heading back to a new trial (ordered by Virginia's Supreme Court in Jan 2026). We're directionally ALIGNED with the Street's Buy but more conservative than its ~$57 average target. Cheap, cash-rich, founder-controlled — but growth is slowing, so buy it measured. We'd turn more bullish on ACV stabilizing: Pega Cloud ACV holding above ~20% while TOTAL ACV growth stops decelerating (it fell to +7% from ~12% last quarter), which would prove the free-cash-flow base is durable and justify a re-rating toward our ~$50 fair value (and the Street's ~$57). We'd accumulate near the 52-week low around ~$29, close to our bear case with a whole cash engine ($288M 1H FCF, $2.0B backlog, $362M net cash, $1B buyback) underneath. The risks to respect: ACV sliding toward low-single-digits or negative, free cash flow rolling over, agentic AI disintermediating Pega's low-code platform, or a bad turn in the Appian trade-secrets retrial (a $2B verdict was overturned but a new trial was ordered in Jan 2026) — in which case the bear case (~$31 or lower) is live and the cash cow becomes a melting ice cube.
